Elizabeth M. McGeever
Director

Elizabeth M. McGeever is a member of the Corporate Litigation and Business Litigation groups.  Her corporate litigation practice concentrates on representing parties in litigation involving mergers and acquisitions, corporate governance, fiduciary law and matters arising under the Delaware General Corporation Law.  She also handles complex business litigation and serves as Delaware counsel in commercial, intellectual property, antitrust and securities litigation in the Delaware District Court.

In 2007-08, Ms. McGeever was President of the Delaware State Bar Association.  She serves on its Executive Committee and has held a number of leadership positions in the Association.  In June 2003, received the Association's Women's Leadership Award.  From 1991 to 1999, Ms. McGeever was a member of the Council of the Association's Corporate Law Section.

Ms. McGeever is also active in the Section of Litigation Leadership Group of the American Bar Association.  She served on the Section’s Council from 2004-2007.  Other Litigation Section Leadership positions include Co-Director of Divisions, member of the Diversity Plan Implementation Working Group, member of the Judicial Intern Opportunity Program and Co-Chair of the Committee on Class Actions and Derivative Suits.

• Bobbitt v. Aetna Real Estate Associates, L.P., Del. Ch., C.A. No. 15386 (defense of general partner of limited partnership in class action suit challenging transaction between general partner and partnership)
• Checkers/Rally’s Merger (advice to special committee of outside directors in connection with merger)
• MacLane v. Enserch, 1992 WL 368614, aff’d, 633 A.2d 369 (Del. 1993) (representation of investors of limited partnership; case tried to $60 million judgment)
• Fine v. Sokol, Del. Ch., C.A. No. 18868 (representation of investor in derivative action arising out of asset sale; case settled after trial for $7.2 million)
• Gotham v. Hallwood Realty Partnership, L.P., 2000 WL 1476663 (Del. Ch.) (defense of limited partnership and outside directors of general partner in suit challenging general partner’s acquisition of partnership units; obtained summary judgment for outside directors)
• In re Telecorp PCS Inc. Shareholders Litigation, Del. Ch., C.A. No. 19260 (representation of director in class action suit challenging merger of AT&T Wireless and Telecorp)
• In re Tricor Direct Purchaser Antitrust Litigation, C.A. No. 05-340 (D. Del.) (Delaware counsel for certain direct purchasers in consolidated antitrust action)
• Juran v. Bron, et al., 2000 WL 1521478 (Del. Ch. 2000) (representation of partner in private equity partnership; case tried to $2 million judgment)
• Loeb Partners v. Griffin, C.A. No. 98-701 (D. Del.) (Delaware counsel to three directors in Section 10(b)(5) action arising out of International Wireless/Radio Mobil merger)
• Loventhal v. Cendant Corporation, Del. Ch., C.A. No. 20565 (representation of investor in derivative suit challenging executive compensation; suit settled based on modifications to employment agreement)
• Pasternak v. Glazer, 1996 WL 549960 (Del. Ch.), appeal dismissed as moot, 693 A.2d 319 (Del. 1997) (obtained injunction against merger that violated company’s certificate of incorporation)
• Relational Funding Corp. v. TCIM Services, Inc., C.A. No. 01-821 (D. Del.) (Delaware counsel in commercial dispute)
• Thorpe v. Cerbco, 676 A.2d 436 (Del. 1996) (defense of directors in suit alleging usurpation of corporate assets)
• Zimmerman v. Home Shopping Network, 1990 WL 118363 (Del. Ch.) (representation of debenture holders; obtained summary judgment; case subsequently settled for $16.5 million)
