John H. Small

John H. Small is in his 34th year with the Prickett firm. His practice consists primarily of transactional and litigation advice involving Delaware corporations and alternative business entities. He is a former Chairman of the Committee on Limited Liability Companies, Partnerships and Unincorporated Entities of the American Bar Association Section of Business Law and served for four years on the Council of the ABA Section of Business Law. He was an ABA advisor to the National Conference of Commissioners on Uniform State Laws in connection with the drafting of the 1985 Amendments to the Revised Uniform Limited Partnership Act and a leader in the negotiations with NCCUSL which resulted in the Revised Uniform Partnership Act. He is now a member of the ABA-NCCUSL Joint Editorial Board on Unincorporated Business Organizations Acts.
In 1982, Mr. Small became a member of the Council of the Corporation Law Section of the Delaware State Bar Association. He continues as a Council member today. From 1994 to 1996, he chaired the Council and the DSBA Corporation Law Section. He was also a primary drafter of the Delaware Revised Uniform Limited Partnership Act, as well as Delaware's Limited Liability Company Act and the Delaware Revised Uniform Partnership Act. He is also a former chairman and remains a member of the Delaware Bar's Committee on Limited Liability Companies and Limited Partnerships. Mr. Small is listed in The Best Lawyers in America (Woodward/White), Corporate and Mergers and Acquisitions, listed as a leader in Delaware in Corporate/M&A and Corporate/M&A: Alternative Entities by Chambers USA, America's Leading Lawyers for Business and recognized by his peers as one of Delaware's corporate "Super Lawyers." Mr. Small is also acknowledged for his corporate governance expertise in The International Who's Who of Business Lawyers. He lectures and writes regularly on corporate and alternative business entity matters.
A former law clerk to the Delaware Court of Chancery, Mr. Small holds an undergraduate degree from Georgetown University (1968) and a J.D. from the University of Virginia School of Law (1973). Between college and law school, Mr. Small spent two years in active duty with the United States Army.
