Business Law Counseling
Our Business Law Counseling Group advises clients engaged in or contemplating business transactions involving Delaware entities, often providing third-party legal opinions on matters of Delaware law. Members of the Group have particular expertise regarding "alternative business entities" such as limited partnerships, limited liability companies, and statutory trusts. We regularly provide advice and opinion letters in connection with the formation of private equity and other investment funds, financing transactions involving Delaware special purpose entities, the issuance of stock and other equity securities, and mutual fund formation and reorganization transactions.
The Group also provides legal advice regarding business and real estate transactions, particularly out of our Dover office. The attorneys in our Dover office regularly advise local and regional business clients in connection with land use development, administrative and regulatory law, commercial and residential real estate transactions, and related litigation matters. For example, our Dover office recently represented Wal-Mart Stores, Inc. in the purchase and development of its new Regional Distribution Center in Smyrna, Delaware, and successfully defended multi-faceted legal challenges to placement and operation of the facility. Typical clients of the Dover office include Wawa Food Markets, Dover Downs International, Artisans Bank, Kimco Realty Corporation, Equity Lifestyle Properties, and a number of local/regional development companies such as Garrison Custom Homes, Stover Homes, C & M Custom Homes, Millenium Land Development, and J.S. Hovnanian & Sons.
