Corporate Law Counseling

Our Corporate Law Counseling Group advises corporate boards, managers and stockholders regarding compliance with the Delaware General Corporation Law and Delaware fiduciary duty law.  We work closely with clients and national and international law firms in structuring transactions such as mergers, asset sales, spin-offs, venture capital financings, and going-private transactions, as well as providing advice on general corporate governance matters.  We advise corporate boards regarding their fiduciary duties, and are often called on to advise special board committees in connection with conflict transactions and internal investigations.  We also provide formal written legal opinions respecting Delaware corporate law issues.  Members of the Group regularly provide substantive advice in support of corporate litigation matters handled by the firm.
