Corporate Litigation
As the “corporate capital” of the nation, Delaware historically has been, and continues to be, the primary forum for litigation of major corporate disputes. Litigating corporate and fiduciary actions is the firm's primary practice area. Our Corporate Litigation Group regularly represents corporations, boards of directors, board appointed special committees, corporate management and stockholders in the Delaware Court of Chancery, other Delaware courts, and in Federal court. Our corporate litigation attorneys regularly represent clients in lawsuits involving mergers and acquisitions, tender offers, control contests, appraisal proceedings, and similar disputes. We are experienced in prosecuting and defending summary proceedings involving director and officer indemnification and advancement, inspection of books and records, election contests, and corporate dissolution proceedings. Our group members often work with our Corporate Law Counseling Group in providing pre-litigation advice to corporate boards and management. We represent special board litigation committees and conduct internal investigations. We are well known for litigation of class and derivative actions that challenge conflict of interest and other transactions.
