Court of Chancery Approves $30 Million Settlement of Match Group, Inc. Stockholder Litigation

The Delaware Court of Chancery has approved the settlement of In re Match Group, Inc. Stockholder Litigation, Consol. C.A. No. 2020-0505-MTZ (Del. Ch.), in which Prickett Jones obtained a $30 million cash payment for Match Group, Inc. (“Match”). The settlement resolves claims that Match’s former controlling stockholder, IAC Holdings, Inc. (n/k/a IAC Inc.) (“IAC”), and board of directors breached their fiduciary duties by separating Match from IAC in an unfair transaction that benefitted IAC at Match’s expense. The settlement results from more than five years of litigation, including a landmark decision by the Delaware Supreme Court that a controlling stockholder must condition a non-freeze-out transaction on the dual protections of MFW to obtain business judgment protection (see more about the Supreme Court decision here).
Prickett Jones Directors Michael Hanrahan, J. Clayton Athey, Corinne Elise Amato, Kevin H. Davenport and Stacey A. Greenspan and Associate Christine N. Chappelear litigated the action on behalf of the representative institutional plaintiff Hallandale Beach Police Officers’ and Firefighters’ Personnel Retirement Trust.
