CORINNE ELISE AMATO practices in the area of corporate and commercial litigation.  Her practice primarily involves mergers and acquisitions, corporate governance, and other complex corporate governance and business matters in the Delaware Court of Chancery.

Corinne is a magna cum laude graduate of both Franklin & Marshall College and Widener University School of Law.  While attending law school, she served on the administrative board of The Delaware Journal of Corporate Law, was a member of Phi Kappa Phi National Honor Society, and served as a judicial extern to the Honorable Gregory M. Sleet, United States District Court Judge for the District of Delaware.

Corinne was admitted to practice in the State of Delaware in 2007.  She has been recognized in the 2014-2017, 2022 and 2023 editions of Super Lawyers, named in The Best Lawyers in America© in 2021, 2022 and 2023 and Chambers rated.  Corinne is also a frequent speaker at corporate law seminars, including seminars sponsored by the Tulane Institute of Corporate Law and Practising Law Institute (PLI).

REPRESENTATIVE CASES

In re CBS Corp. S’holder Class Action & Deriv. Litig., Cons. C.A. No. 2020-0111 (Del. Ch.), pursued breach of fiduciary duty claims arising out of the merger of CBS and Viacom; resolved just short of trial for a $147.5 million derivative payment.

Envolve Pharmacy Solutions, Inc. v. Rite Aid Hdqtrs. Corp. C.A. No. N19C-12-214 (Del. Super. Ct., CCLD), defended Rite Aid against claims of fraud, breach of contract, and unjust enrichment; jury returned a “clean sweep” verdict for Rite Aid.

Arkansas Teachers Ret. Sys. v. Alon USA Energy, Inc., C.A. No. 2017-0453 (Del. Ch.), challenged the stock-for-stock merger of Alon USA and Delek US Holdings on behalf of Alon’s public stockholders; resolved with a cash payment of $44.75—an increase of more than 10% of the value of the merger consideration.

In re Facebook, Inc. Class C Reclassification Litig., Cons. C.A. No. 12286 (Del. Ch.), challenged a stock reclassification that would have maintained Mark Zuckerberg’s voting control of Facebook while reducing his economic stake; obtained the withdrawal of the transaction on the eve of trial.

In re Globe Specialty Metals, Inc. S’holders Litig., Cons. C.A. No. 10865 (Del. Ch.), sought to enjoin the stock-for-stock merger of Globe Specialty Metals and Grupo FerroAtlántica; resolved with a $32.5 million cash payment to the class and enhanced corporate governance protections.
