Prickett Jones advises corporate boards, managers and stockholders regarding compliance with the Delaware General Corporation Law and Delaware fiduciary duty law.  We work closely with clients and national and international law firms in structuring transactions such as mergers, asset sales, spin-offs, venture capital financings, and going-private transactions, as well as providing advice on general corporate governance matters.  We also are experienced in advising corporate boards regarding their fiduciary duties, and have advised special board committees in connection with conflict transactions and internal investigations.
